PENGARUH MEKANISME CORPORATE GOVERNANCE TERHADAP PENGUNGKAPAN INTELLECTUAL CAPITAL (STUDI EMPIRIS PADA PERUSAHAAN PERBANKAN YANG TERDAFTAR DI BURSA EFEK INDONESIA PERIODE 2007-2010)
Abstract
Intellectual capital is the combined of knowledge and experience, skill, good relationships, and technological capacities, which will give organisations competitive advantage. There is no accounting standard which guide systematically about identification, measurement, and reporting of intellectual capital as a result the disclosure is still voluntary. Intellectual capital disclosure could be attained by developing a controlling mechanism which assuranced the accountability and transparancy of information of organization to the users. This research aims to analyze the influence of corporate governance mechanism to intellectual capital disclosure.
Intellectual capital is a dependent variabel which measured by disclosure index scores to a framework of intellectual capital which developed by Sveiby (1997). Corporate governance mechanism as independent variable which measured by six proxies, that is managerial ownership, institutional ownership, size of board of directors, proportion of independent commissioner, size of audit committee, and frequency of audit committee meetings. Samples used in this research are 21 banking-firms that listed in Indonesian Stock Exchange (IDX) for period 2007 to 2010 which is selected by using the purposive sampling method. A content analysis of annual report is used to identify intellectual capital disclosure. The data is examined by using multiple regressions analysis.
The result of this research show that the institutional ownership and audit committee has positive influence to intellectual capital disclosure. The other variables (managerial ownership, size of board of directors, proportion of independent commissioner, and frequency of audit committee meeting) have no significant influence to intellectual capital disclosure. On the other hand, the firm’s size and leverage as variable control is also have significant influence to intellectual capital disclosure.
